TERMS AND CONDITIONS FOR EDUCATIONAL SERVICES

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Edvance MedTech gGmbH i. G. (“Edvance MedTech”, “we”, “us”, “our”) and any individual or entity (“you”, “your”) who accesses, registers for, or uses our Educational Services.

Article 1. Definitions

  1. For the purposes of these Terms and Conditions, the following definitions apply:
  2. Edvance MedTech“, “we“, “us“, “our“: Edvance MedTech gGmbH, a German nonprofit limited liability company
  3. Educational Services“: training courses, seminars, conferences, webinars, and related educational programs offered by Edvance MedTech
  4. Participant“: any individual who registers for, attends, or uses our Educational Services
  5. B2B Customer“: a company, organization, or employer that purchases Educational Services for its employees or representatives
  6. B2C Customer“: an individual who purchases Educational Services for their own account, including students, self-employed persons, and employees paying for their own training
  7. Customer”, “you”: a B2B Customer or a B2C Customer
  8. Educational Platform“: the online platform used by Edvance MedTech to deliver educational content and services
  9. Certificate“: official documentation of completion issued upon successful completion of Educational Services
  10. In these Terms, unless the context otherwise requires:
    1. Words in the singular include the plural and vice versa
    1. References to a person include individuals, companies, and other legal entities
    1. Headings are for convenience only and do not affect interpretation
    1. “Including” means “including without limitation”
    1. References to laws include amendments and replacements
    1. “Writing” or “written” includes electronic communications

Article 2. Acceptance and scope

  1. By registering for, accessing, or using any Educational Services, you (the Customer) acknowledge that you (the Customer) have read, understood, and agree to be bound by these Terms. If you are a B2B Customer purchasing Educational Services for Participants who are your employees or representatives, you represent that you have the authority to bind such Participants to these Terms and that such Participants will comply with all obligations set forth herein. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
  2. These Terms and Conditions apply exclusively to Educational Services provided by Edvance MedTech. Separate terms and conditions apply to research programs, newsletter services, and other activities offered by Edvance MedTech.
  3. These Terms supersede any terms and conditions contained in purchase orders, invoices, or other documents submitted by a Customer. Any attempt to modify these Terms through such documents is expressly rejected unless specifically agreed to in writing by an authorized representative of Edvance MedTech. No terms or conditions proposed by customers in any purchase order, invoice, or other document shall be binding on Edvance MedTech, regardless of whether Edvance MedTech fails to object to such terms.

Article 3. Services

  1. Edvance MedTech provides Educational Services in the field of medical devices, including training courses, seminars, conferences, webinars, and related educational programs designed to enhance knowledge and skills in medical device development, regulation, and commercialization.
  2. Educational Services provided by Edvance MedTech are strictly limited to general education and training purposes. As a German non-profit organization (gGmbH), Edvance MedTech is legally prohibited from providing consultancy services, advisory services, or individualized professional guidance under German non-profit regulations. All Educational Services consist of standardized educational content delivered to multiple participants and do not constitute personalized advice, recommendations, or solutions tailored to specific business situations, regulatory challenges, or individual circumstances. Individual business consulting is outside our permitted scope of activities under German non-profit law. Participants seeking consultancy or advisory services must engage qualified third-party commercial consultants or advisors independently. This prohibition extends to any form of individualized business guidance, strategic planning, regulatory strategy development, product-specific compliance advice, or any other services that could be construed as commercial consulting.
  3. Access to Educational Services is provided through our Educational Platform. Technical requirements, system specifications, and platform usage guidelines are detailed in our separate Technical Guide available on our website. Participants are responsible for ensuring their devices and internet connection meet the minimum requirements specified in the Technical Guide.
  4. Registration for Educational Services is available as follows:
    1. for ongoing courses without fixed start dates, registration remains open continuously;
    1. for live Educational Services with scheduled start dates, registration closes at the time payment must be received as specified in Article 9.
  5. Access to Educational Services through the Educational Platform is provided for a maximum period of six (6) months from the date of first access or course commencement, whichever occurs first, except in case of a live course, in which case only access to live events is offered.
  6. Edvance MedTech may, at its sole discretion, make recordings of Educational Services available to Participants through the Educational Platform. However, Edvance MedTech shall not be responsible or liable for the availability, quality, completeness, or technical functionality of such recordings. Recordings, when available, are provided “as-is” without any warranties or guarantees regarding their accessibility or continued availability.
  7. Edvance MedTech shall not be responsible or liable for any content, statements, opinions, advice, or information shared by trainers, instructors, or guest speakers during live Educational Services, webinars, or interactive sessions. All such content represents the individual views of the speaker and does not necessarily reflect the positions, policies, or endorsements of Edvance MedTech. Participants should independently verify any information received during Educational Services and consult appropriate professional advisors for specific guidance relevant to their circumstances.
  8. Edvance MedTech makes no guarantee that Educational Services or Certificates will be accepted by any professional board, licensing authority, or educational institution. Participants are responsible for verifying acceptance requirements before enrolment.

Article 4. Service availability

Edvance MedTech aims to maintain Educational Platform availability of 99% during Availability Hours, excluding planned maintenance periods announced at least 48 hours in advance. We reserve the right to temporarily suspend access for maintenance, updates, or technical issues. Edvance MedTech’s ability to provide Educational Services is dependent on the uptime and proper functioning of the Educational Platform. Service Hours are defined as Monday through Friday, 9:00 AM to 1:00 PM Central European Time (CET), excluding German public holidays. Availability Hours are defined as between 08:00-22:00 CEST on Monday-Sunday, though technical support and live Educational Services are only provided during Service Hours.

Article 5. Platform access and technical requirements

Access to Educational Services is provided through our Educational Platform. Technical requirements, system specifications, and platform usage guidelines are detailed in our separate Technical Guide available on our website. Participants are responsible for ensuring their devices and internet connection meet the minimum requirements specified in the Technical Guide.

Article 6. Consumer protection and cancellation rights

  1. B2C Customers who are EU consumers have the following rights in addition to what has been set forth in these T&C under EU consumer protection law:
    1. Right of withdrawal: 14-day cooling-off period from contract conclusion for online purchases. The withdrawal period begins on the day of contract conclusion. For Educational Services that commence before the end of the withdrawal period, the right of withdrawal is lost only if the consumer has given express consent to early performance and acknowledged that they lose their right of withdrawal once performance has begun.
    1. Right to pursue claims in your country of residence if you are established outside of Germany.

These consumer protection rights are in addition to the general cancellation rights outlined below in this Article.

  • B2C Customers exercising withdrawal rights are entitled to full refunds processed within thirty (30) days via the original payment method.
  • General cancellation rights: Any Customer (B2B Customer or B2C Customer) may cancel their registration and receive a full refund within fourteen (14) days after the Educational Services start date if the Educational Services were purchased in advance of the start date, or within fourteen (14) days from the payment date if payment was made after the Educational Services start date. Refunds are processed within thirty (30) days and returned via the original payment method. No refunds are available for Free Educational Services.

Article 7. Free Educational Services

Edvance MedTech may offer certain Educational Services free of charge, including introductory courses, webinars, or promotional content. Free Educational Services are provided “as-is” without warranties of any kind and may be modified, suspended, or discontinued at any time without prior notice. Access to free Educational Services may be limited by availability, and registration may be required.

Article 8. User obligations and acceptable use

  1. Participants must:
  2. Provide accurate and complete registration information
  3. Maintain the confidentiality of account credentials
  4. Use Educational Services only for lawful purposes and in accordance with these Terms
  5. Respect the intellectual property rights of Edvance MedTech and other participants
  6. Conduct themselves professionally during Educational Services
  7. Comply with all applicable laws and regulations
  8. Participants are responsible for maintaining the security of their Educational Platform accounts and must:
  9. Keep login credentials confidential and secure
  10. Notify Edvance MedTech immediately of any unauthorized access
  11. Use strong passwords and update them regularly
  12. Log out of accounts when using shared or public computers
  13. Accept responsibility for all activities under their account
  14. Participants are prohibited from:
  15. Sharing, recording, or redistributing Educational Services content without written permission
  16. Disrupting or interfering with Educational Services or other participants
  17. Using Educational Services for commercial purposes without authorization
  18. Attempting to gain unauthorized access to Educational Platform systems
  19. Submitting false or misleading information
  20. Engaging in harassment, discrimination, or inappropriate behavior
  21. Sharing access to Educational Services through group viewing, conference calls, or similar collective access methods without individual registration for each participant
  22. Violating any applicable laws or regulations
  23. Educational Services are intended for individuals who are at least 16 years of age. Participants under 18 years of age must have parental or guardian consent to register for and use Educational Services.

Article 9. Pricing and payment terms

  1. Fees for Educational Services are published on our website and Educational Platform. Pricing may differ between B2B Customers and B2C Customers. All prices are stated in Euros (EUR) and include applicable taxes unless otherwise specified. The price at which Educational Services are offered at the moment of registration for a specific course applies to you (the Customer).
  2. Edvance MedTech offers reduced pricing for Educational Services to support access for certain B2C Customer categories as set forth on its website. B2B Customers may be eligible for group discounts and early bird discounts as specified in formal offers or invoices. Discount eligibility requires submission of appropriate documentation during registration. B2C Customer discounts apply only to B2C Customers and cannot be combined with other promotional offers. Verification requirements and discount percentages may be updated at Edvance MedTech’s discretion. Discounts do not apply to Free Educational Services or services already provided at reduced rates.
  3. Edvance MedTech is under no obligation to offer discounts and reserves the absolute right to modify, suspend, or terminate any discount program at any time without prior notice. Previous receipt of discounts does not create any entitlement to future discounts or establish any contractual rights to continued discount availability. Discount eligibility criteria, verification requirements, and discount percentages are subject to change at Edvance MedTech’s sole discretion. Participants have no vested rights in any discount program, and termination of discount programs shall not give rise to any claims for compensation or continued discount pricing.
  4. Early bird discounts are available for both B2B Customers and B2C Customers as specified in formal offers or invoices. Early bird discount eligibility is contingent upon timely payment according to the payment deadlines specified in the offer or invoice. Failure to meet payment deadlines results in automatic forfeiture of early bird discount eligibility, and no retroactive application of early bird discounts will be provided.
  5. Group discounts may be available for B2B Customers purchasing Educational Services for multiple Participants, subject to minimum enrollment requirements and other conditions as specified in formal offers or invoices.
  6. Payment must be received by Edvance MedTech at least 2 business days prior to the start date of Educational Services. Customers who fail to meet this payment deadline will be unable to participate in the Educational Services and have no right to any Educational Service content.
  7. Accepted payment methods include credit cards, bank transfers, and other methods as specified on our website or in a formal offer made to you on behalf of Edvance MedTech.
  8. All payments must be made in Euros (EUR).
  9. Late payments may, at Edvance MedTech’s sole choice, result in:
    1. Suspension of access to Educational Services
    1. Interest charges at the rate of 1.5% per month on overdue amounts
    1. Termination of services for persistent non-payment

Customers who fail to meet payment deadlines forfeit access to Educational Services until payment obligations are fulfilled. No discounts, credits, or reimbursements will be provided for Educational Services content missed due to late payment or non-payment.

  1. All prices include applicable German VAT unless otherwise stated. Customers outside the EU may be exempt from VAT subject to valid VAT registration verification. Customers are responsible for any additional taxes or duties in their jurisdiction. Without prejudice to the foregoing, for B2C Customers, the following applies: advertised prices include applicable German VAT unless otherwise stated, and any mandatory fees. Customers outside the EU may be exempt from VAT subject to valid VAT registration verification. Customers checkout is calculated with local VAT, which constitutes the binding price. Currency conversion rates (if applicable) are responsible for any additional taxes disclosed at checkout unless otherwise permitted by law.  After checkout confirmation, no hidden costs or duties the Customer’s jurisdiction will be added to the binding price after checkout confirmation.

Article 10. Cancellation and Refund Policy

B2C Customers have withdrawal rights under German consumer protection law as specified in Article 6. B2B Customers may cancel their registration and receive a full refund within seven (7) business days after the Educational Services start date if the Educational Services were purchased in advance of the start date, or within seven (7) business days from the payment date if payment was made after the Educational Services start date. All refunds are processed within thirty (30) days and returned via the original payment method. No refunds are available for Free Educational Services.

Article 11. Certification

  1. Certificates are issued to Participants who successfully complete Educational Services according to the specified requirements. Requirements may vary per course. Edvance MedTech may elect not to offer any certification for any Educational Service. Eligibility of certification shall be specified per Educational Service. Certificate requirements may include:
  2. Full attendance at scheduled sessions
  3. Completion of assignments or assessments
  4. Achievement of minimum performance standards
  5. Certificates are issued electronically and do not expire unless explicitly stated on the certificate. Edvance MedTech does not retain records of issued certificates longer than three years after issuance.
  6. False representation of Certificate completion or unauthorized reproduction of Certificates is prohibited
  7. Certificates represent completion of Educational Services and do not constitute:
    1. Professional licensing or regulatory approval
    1. Guarantee of employment or career advancement
    1. Endorsement for specific professional activities
    1. Compliance with all applicable regulatory requirements

Participants are responsible for determining the relevance and acceptance of Certificates for their specific professional needs.

Article 12. Intellectual property rights

  1. All content, materials, and intellectual property provided through Educational Services, including but not limited to course materials, presentations, videos, software, trademarks, logos, and Educational Platform technology, remain the exclusive property of Edvance MedTech or its licensors. No ownership rights are transferred to Participants through use of Educational Services.
  2. Subject to compliance with these Terms, Edvance MedTech grants Participants a limited, non-exclusive, non-transferable, temporary revocable license to access and use Educational Services solely for personal educational purposes in the context of completing the Educational Services for which they are registered and pursuing any associated Certificate for a duration of 6 months after purchase, except if the access to an Educational Service is purchased in advance to the start of a course, in which case the license is granted for a duration of 6 months from the start of the course. This license does not permit:
  3. Commercial use or resale of Educational Services content
  4. Reproduction, distribution, or public display of materials
  5. Modification, adaptation, or creation of derivative works
  6. Reverse engineering or attempting to extract source code
  7. Removal of copyright, trademark, or other proprietary notices
  8. Any commercial use, resale, or distribution of Educational Services content to third parties.

Article 13. User-generated content

  1. Participants may submit questions, comments, feedback, or other content during Educational Services (“User Content”). By submitting User Content, Participants grant Edvance MedTech a worldwide, royalty-free, perpetual license to use, reproduce, modify, and distribute such content for educational and promotional purposes and to review any User Content for provision of Certificates. Participants represent that they own or have necessary rights to submit User Content and that it does not violate any third-party rights or applicable laws.
  2. Participants are prohibited from:
  3. Using Educational Services content beyond the scope of the granted license
  4. Infringing upon Edvance MedTech’s intellectual property rights or those of third parties
  5. Circumvent or disable any security features or access controls
  6. Use automated systems to access or download content without authorization
  7. Claim ownership of or remove proprietary notices from Edvance MedTech materials

Article 14. Content updates

  1. Educational Services content may be updated to reflect current best practices and regulatory changes. Major content revisions are announced to affected Participants at least 30 days in advance.
  2. Edvance MedTech reserves the right, but assumes no obligation, to update, modify, or discontinue Educational Services content at its sole discretion. Edvance MedTech is under no obligation to update Educational Services content to reflect changes in industry guidance, best practices, or other developments that occur after the Educational Services are delivered or made available. Participants are solely responsible for staying current with applicable requirements and developments in their field and for determining whether Educational Services content remains suitable for their needs.

Article 15: Warranties and representations

  1. Educational Services are provided “as is” and “as available” without warranties of any kind, whether expressed or implied. To the fullest extent permitted by law, Edvance MedTech disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
  2. While Edvance MedTech strives to provide accurate and up-to-date information through Educational Services, Edvance MedTech do not warrant the accuracy, completeness, or reliability of any content. Participants are responsible for verifying information and determining its suitability for their specific needs and circumstances.
  3. By registering for one or more specific Educational Services, Customer (as defined in Article 1) represents and warrants that: (a) they have the legal capacity to enter into these Terms; (b) all registration information provided is accurate and complete; (c) if Customer is a B2B Customer, they have authority to bind their Participants to these Terms and such Participants’ use of Educational Services will comply with all applicable laws and regulations; (d) if Customer is a B2C Customer who is also the Participant, their use of Educational Services complies with all applicable laws and regulations; and (e) Customer and/or Participant will not use Educational Services for any unlawful or prohibited purposes.

Article 16. Service level commitments

  1. While Educational Services are provided “as is,” Edvance MedTech commits to the following minimum service standards:
    1. Live Educational Services will commence as scheduled unless cancelled due to Force Majeure Events or insufficient enrolment
    1. Course materials will be accessible through the Educational Platform for the duration specified in the service description
    1. All online courses that are part of the Educational Services have been reviewed by Edvance MedTech’s scientific board.
    1. Educational Services content is reviewed annually for accuracy and relevance
  2. Failure to meet these commitments may result in service credits, rescheduling, or refunds at Edvance MedTech’s discretion.

Article 17. Continuing professional development recognition

  1. Educational Services are not eligible for continuing professional development (CPD) credits. Any CPD classification or credit eligibility must be verified independently by Participants with their relevant professional organizations.

Article 18. Limitation of liability and indemnification

  1. To the fullest extent permitted by law, Edvance MedTech’s total liability for any claims arising from or related to Educational Services shall not exceed the total amount paid by you (the Customer) for the specific Educational Services giving rise to the claim in the six (6) months preceding the claim.
  2. In no event shall Edvance MedTech be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising from or related to Educational Services, except where such exclusion is prohibited by mandatory German law.
  3. Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable German law, including liability for death or personal injury caused by gross negligence, intentional misconduct, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded under mandatory consumer protection law.
  4. B2B Customers agree to indemnify, defend, and hold harmless Edvance MedTech from claims arising from their use of Educational Services, their Participants’ use of Educational Services, violation of these Terms by Customer or their Participants, or infringement of third-party rights by Customer or their Participants, except to the extent such claims arise from gross negligence or intentional misconduct by Edvance MedTech. This indemnification obligation does not apply to B2C Customers.

Article 19: Term and termination

  1. These Terms commence upon the Customer’s registration for Educational Services and continue until terminated in accordance with the provisions herein. Individual Educational Services may have specific duration periods as specified in the service description or registration materials.
  2. Customers may only terminate these Terms and cancel their registration for Educational Services within the refund period specified in Article 8 (Cancellation and Refund Policy). No other termination rights are granted to Customers under these Terms.
  3. Edvance MedTech reserves the right to cancel, terminate, suspend, or discontinue any Educational Services, including ongoing courses, seminars, webinars, or other educational programs, at any time and for any reason, with or without cause and with or without prior notice. This right includes but is not limited to cancellation due to insufficient enrolment, instructor unavailability, technical difficulties, Force Majeure Events, or at Edvance MedTech’s sole discretion. In the event of such cancellation or termination:
  4. Participants will receive notice of termination when reasonably practicable under the circumstances
  5. No compensation will be provided for time invested, travel expenses, opportunity costs, or other indirect costs
  6. Edvance MedTech shall have no liability for any damages arising from such termination beyond the refund of unused fees
  7. Refunds for cancelled paid Educational Services will be provided in full for services that have not yet commenced, or on a pro-rated basis for partially completed paid Educational Services
  8. Alternative Educational Services may be offered at Edvance MedTech’s discretion but are not guaranteed.
  9. Upon termination:
  10. Access to Educational Services and Educational Platform will cease immediately
  11. All outstanding fees become immediately due and payable
  12. Previously issued Certificates remain valid unless revoked for cause
  13. Refunds may be available according to the refund policy for unused services
  14. User data will be handled according to our Privacy Notice and data retention policies

Article 20. Survival Clauses

  1. The following provisions survive termination of these Terms: Article 9 (payment obligations for services rendered), Article 12 (Intellectual Property Rights), Article 13 (User-Generated Content), Article 15 (Warranties and Representations), Article 18 (Limitation of Liability and Indemnification), Article 21 (Confidentiality), Article 26 (Governing Law and Jurisdiction), and any other provisions that by their nature should survive termination.

Article 21. Confidentiality

  1. “Confidential Information” means any non-public, proprietary, or confidential information disclosed by either party in connection with Educational Services, including but not limited to course materials, participant information, business strategies, technical data, and any information marked or identified as confidential.
  2. Each Party agrees to: (a) maintain the confidentiality of Confidential Information; (b) use Confidential Information solely for the purposes of these Terms; (c) not disclose Confidential Information to third parties without prior written consent; and (d) protect Confidential Information using the same degree of care used to protect its own confidential information, but in no event less than reasonable care.
  3. Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no breach of these Terms; (b) was known prior to disclosure; (c) is independently developed without use of Confidential Information; (d) is received from a third party without breach of confidentiality; or (e) is required to be disclosed by law or court order.

Article 22. Force Majeure events

  1. Neither party shall be liable for any failure or delay in performance under these Terms due to events beyond its reasonable control, including but not limited to acts of God, illness of speakers / trainers, natural disasters, war, terrorism, labor disputes, government actions, pandemic, epidemic, third party failures in providing essential services, or failure of internet or telecommunications infrastructure (“Force Majeure Events”).
  2. During Force Majeure Events, the affected party shall: (a) promptly notify the other party of the event and its expected duration; (b) use reasonable efforts to mitigate the effects and resume performance; and (c) provide alternative delivery methods for Educational Services where feasible. If a Force Majeure Event continues for more than 60 days, either party may terminate affected Educational Services with written notice.

Article 23. Complaints

  1. Complaints regarding Educational Services should be submitted in writing to through our designated customer service channels via complaints@edvance-medtech.com. Complaints should include detailed information about the issue, relevant dates, and desired resolution.
  2. Edvance MedTech will acknowledge receipt of complaints within 2 business days and provide a substantive response within 10 business days. Complex complaints may require additional time for investigation, and we will provide regular updates on progress.
  3. If you are not satisfied with the initial response to your complaint, you may request escalation to senior management. Unresolved complaints may be subject to the dispute resolution procedures outlined in article 26 of these Terms.

Article 24. Miscellaneous

  1. You (the Customer) may not assign, transfer, or delegate your rights or obligations under these Terms without prior written consent from Edvance MedTech. For B2B Customers, this restriction includes any assignment that would affect the rights or obligations of Participants under these Terms. Edvance MedTech may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
  2. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Invalid provisions shall be replaced with valid provisions that most closely approximate the intent of the original provision.
  3. No waiver of any provision of these Terms shall be deemed or shall constitute a waiver of any other provision. No waiver shall be effective unless in writing and signed by the party against whom such waiver is sought to be enforced.
  4. All notices required under these Terms shall be in writing and delivered by email, registered mail, or courier to the addresses specified in the registration information or, for notices to Edvance MedTech, to the contact information provided in Article 2. Notices are deemed received when delivered by email (if receipt is confirmed), or three (3) business days after posting if sent by mail.
  5. These Terms are intended solely for the benefit of the parties and do not create any rights for third parties. No third party shall be entitled to rely on or enforce any provision of these Terms.

Article 25. Changes to terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users via email or through our Educational Platform at least 30 days before the effective date, except for changes required by law or to address security vulnerabilities, which may be implemented immediately. For B2C Customers who are EU consumers, material changes that significantly disadvantage the consumer require explicit consent to continue using Educational Services. Continued use of Educational Services after such changes constitutes acceptance of the modified Terms. If you (the Customer) do not agree to the changes, you must discontinue use of Educational Services and may be entitled to a pro-rated refund for unused paid services. We will maintain previous versions of these Terms for reference purposes.

Article 26. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to conflict of law principles.
